Dealer Registration & Authorized Dealer Access Policy

1. Purpose

Rep Co. Wheels offers approved businesses the opportunity to register for an authorized Dealer account and receive access to Dealer-exclusive products, pricing, programs, and other benefits.

Submission of a Dealer application does not guarantee approval. All Dealer accounts and Dealer pricing privileges are subject to review, verification, approval, suspension, and termination at the sole discretion of Rep Co. Wheels.

2. Dealer Application Requirements

All applicants must complete the Rep Co. Wheels Dealer Application accurately and provide all information and documentation requested by Rep Co. Wheels.

Required information may include, but is not limited to:

• Legal business name and DBA/trade name, if applicable
• Business address and contact information
• Business telephone number and email address
• Business website and/or verifiable business presence
• Federal Tax ID/EIN, where applicable
• State resale certificate, sales tax permit, or equivalent documentation
• Business license or registration documentation
• Owner or authorized representative information
• Any additional documentation reasonably requested by Rep Co. Wheels to verify the business

Incomplete, inaccurate, misleading, outdated, or unverifiable information may result in the application being delayed, denied, suspended, or rejected.

3. Business Verification

Dealer status is intended for legitimate businesses engaged in the automotive, wheel, tire, vehicle accessory, or related industries, unless otherwise approved by Rep Co. Wheels.

Rep Co. Wheels reserves the right to independently verify any information submitted as part of a Dealer application. Verification may include confirming business registration, ownership, contact information, resale credentials, physical or online business presence, and other information reasonably necessary to determine the legitimacy of the applicant.

If Rep Co. Wheels is unable to reasonably verify that an applicant is a legitimate business, Dealer status may be denied or existing Dealer access may be suspended or terminated.

4. Authorization to Register

A Dealer account must be created by the business owner or by an employee, representative, or agent who has been authorized by the business owner or appropriate management to register the business with Rep Co. Wheels.

No individual may register a business, business owner, or company for a Rep Co. Wheels Dealer account without proper authorization.

If Rep Co. Wheels determines that an application was submitted on behalf of a business or owner without authorization, Rep Co. Wheels may immediately reject the application, suspend the account, revoke Dealer pricing, or permanently terminate access.

5. Approval of Dealer Accounts

Rep Co. Wheels retains final approval authority over all Dealer applications and accounts.

Rep Co. Wheels may approve or deny an application based on the information provided, the ability to verify the applicant, compliance with this policy, business qualifications, or other legitimate business considerations.

Approval of one application does not require Rep Co. Wheels to approve another applicant with similar circumstances.

Dealer status is a privilege granted by Rep Co. Wheels and does not create any franchise, partnership, agency, employment, exclusivity, or other legal relationship between Rep Co. Wheels and the Dealer unless separately agreed to in writing.

6. Dealer-Exclusive Pricing and Account Access

Approved Dealers may receive access to confidential or Dealer-exclusive pricing, promotions, product information, programs, and other benefits made available by Rep Co. Wheels.

Dealer pricing and access are provided solely for the approved Dealer account and may not be shared, transferred, reproduced, published, distributed, or provided to unauthorized individuals or businesses without written authorization from Rep Co. Wheels.

Rep Co. Wheels reserves the right to modify Dealer pricing, purchasing requirements, programs, eligibility standards, or Dealer benefits at any time.

7. Grounds for Denial, Suspension, or Termination

Rep Co. Wheels reserves the right, at its discretion, to deny an application, suspend a Dealer account, revoke Dealer-exclusive pricing, restrict access, or permanently delete/terminate a Dealer account when circumstances include, but are not limited to:

1. Missing or incomplete information on the Dealer Application.
2. False, inaccurate, misleading, fraudulent, or unverifiable information.
3. Failure or refusal to provide requested verification documents.
4. Rep Co. Wheels being unable to verify that the applicant operates a legitimate business.
5. Registration of a business or business owner without proper authorization.
6. Unauthorized use or sharing of Dealer credentials or Dealer-exclusive pricing.
7. Misrepresentation of the Dealer’s relationship with Rep Co. Wheels.
8. Fraudulent, deceptive, abusive, or otherwise improper activity.
9. Violation of Rep Co. Wheels policies, terms, pricing requirements, or Dealer program requirements.
10. Conduct intended to circumvent, manipulate, exploit, or abuse Rep Co. Wheels’ Dealer program, pricing, systems, employees, customers, or business operations.
11. Any intentional attempt to defame, disparage, misrepresent, sabotage, interfere with, or unlawfully damage Rep Co. Wheels, its products, business relationships, intellectual property, goodwill, or reputation.
12. Any other conduct Rep Co. Wheels reasonably determines presents a legal, financial, operational, security, reputational, or business risk.

8. Rep Co. Wheels’ Right to Revoke Access

Rep Co. Wheels reserves the right to review Dealer eligibility at any time.

Approval of a Dealer account does not guarantee permanent access to Dealer pricing or Dealer privileges. Rep Co. Wheels may request updated information or documentation at any time to confirm continued eligibility.

Failure to provide requested information within a reasonable period may result in temporary suspension or termination of Dealer access.

Where permitted by applicable law and contractual obligations, Rep Co. Wheels may suspend, restrict, or terminate Dealer-exclusive access when it reasonably determines that the Dealer no longer satisfies program requirements or has violated this policy.

9. Account Security

Dealers are responsible for maintaining the confidentiality and security of their account credentials.

Dealer accounts may only be accessed by individuals authorized by the approved business. Dealers must promptly notify Rep Co. Wheels if they believe their account has been accessed or used without authorization.

Rep Co. Wheels may temporarily suspend an account when suspicious or unauthorized activity is detected while the matter is reviewed.

10. Continuing Obligation to Maintain Accurate Information

Approved Dealers are responsible for maintaining accurate and current account information.

Dealers must notify Rep Co. Wheels of material changes to business ownership, business name, address, tax/resale status, authorized contacts, or other information relevant to Dealer eligibility.

Rep Co. Wheels may require a Dealer to complete a new application or verification process following significant changes to the business or account.

11. Confidentiality of Dealer Pricing

Dealer-exclusive pricing is intended solely for authorized Rep Co. Wheels Dealers. Unless expressly authorized by Rep Co. Wheels or required for legitimate retail sales activities, Dealers may not distribute confidential Dealer price lists, screenshots, account credentials, internal communications, or other restricted Dealer information to unauthorized third parties.

Unauthorized disclosure may result in immediate suspension or termination of Dealer privileges.

12. No Guarantee of Continued Dealer Status

Dealer approval does not create a permanent entitlement to Dealer status, specific pricing, inventory availability, purchasing terms, territories, or other benefits.

Rep Co. Wheels may periodically review and revise the Dealer Program and its eligibility requirements, subject to applicable law and any separate written agreement between Rep Co. Wheels and the Dealer.

13. Acceptance

By submitting a Dealer Application, the applicant represents that:

• All information provided is true, accurate, and complete to the best of the applicant’s knowledge.
• The applicant is authorized to submit the application on behalf of the identified business.
• The applicant understands that Dealer approval is not guaranteed.
• The applicant agrees to provide reasonable verification documentation upon request.
• The applicant agrees to comply with Rep Co. Wheels Dealer policies and applicable terms and conditions.
• The applicant understands that Dealer-exclusive pricing and account privileges may be suspended or terminated if eligibility requirements are no longer satisfied or this policy is violated.

By submitting the application, the applicant acknowledges that Rep Co. Wheels retains final authority to approve or deny Dealer registration and, subject to applicable law and contractual obligations, to suspend or terminate Dealer-exclusive account privileges for violations of this policy.
